4. Online Ordering and Payment Terms
4.1 Order Placement
When you place an order through our Website, you are making an offer to purchase the selected food items or services at the stated price. All orders are subject to acceptance by Cafe Rio. We reserve the right to refuse or cancel any order at our sole discretion, including in cases of pricing errors, availability issues, suspected fraud, or violations of these Terms.
You will receive an order confirmation via email upon successful placement of your order. This confirmation does not constitute acceptance of your order; acceptance occurs when we begin processing or preparing your order.
4.2 Pricing
All prices displayed on the Website are listed in United States Dollars (USD) and are subject to change without notice. Applicable taxes, service fees, and delivery charges will be added to your order total at checkout. We make every effort to ensure pricing accuracy; however, in the event of a pricing error, we reserve the right to cancel the affected order and notify you accordingly.
4.3 Payment Methods
We accept various forms of payment, which may include major credit cards, debit cards, digital wallets, and other payment methods as indicated at checkout. By providing your payment information, you represent and warrant that you are authorized to use the designated payment method and authorize Cafe Rio (or its payment processors) to charge the applicable amount.
All financial transactions are processed through secure, third-party payment processors. Cafe Rio does not store your full payment card information on its servers. Your payment data is handled in accordance with Payment Card Industry Data Security Standards (PCI DSS).
4.4 Refunds and Cancellations
Our refund and cancellation policy is as follows:
- Orders may be cancelled within a limited window after placement, as specified during the ordering process
- Refunds for food items may be issued in cases of incorrect orders, food safety concerns, or significant quality issues
- Refund requests must be submitted to [email protected] within forty-eight (48) hours of receipt of the order
- Refunds are processed at the sole discretion of Cafe Rio and may be issued as store credit or returned to the original payment method
- Delivery fees and service charges are generally non-refundable unless the order was not delivered due to our error
4.5 Promotional Offers and Discounts
Promotional codes, coupons, and discount offers are subject to their individual terms and conditions. Only one promotional code may be used per order unless otherwise stated. Promotional offers cannot be combined, transferred, or redeemed for cash, and they expire on the dates specified. Cafe Rio reserves the right to modify or discontinue any promotional offer at any time.
5. Intellectual Property Rights
All content on the Website, including but not limited to text, graphics, logos, icons, images, audio clips, video content, digital downloads, data compilations, software, and the overall design and layout ("Content"), is the exclusive property of Cafe Rio or its content suppliers and is protected by applicable intellectual property laws of the United States, including but not limited to the Copyright Act (17 U.S.C. § 101 et seq.), trademark laws, and trade dress protections.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Website and its Content solely for personal, non-commercial purposes in connection with the Services. This license does not include:
- The right to resell or commercially exploit the Website or its Content
- The right to collect and use product listings, descriptions, or prices for commercial purposes
- The right to make derivative works based on the Website or its Content
- The right to download or copy account information for the benefit of another merchant
- The right to use data mining, robots, or similar data gathering and extraction tools
Any unauthorized use of the Content terminates the permission or license granted by Cafe Rio. All trademarks, service marks, trade names, logos, and trade dress appearing on or in connection with the Website are proprietary to Cafe Rio or their respective owners. Nothing in these Terms grants you any right or license to use any trademark, logo, or trade name without our express prior written consent.
If you believe that any content on our Website infringes your copyright or other intellectual property rights, please notify us at [email protected] with sufficient information to identify the claimed infringement, consistent with the requirements of the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512.
6. User-Generated Content
If you submit, post, or otherwise provide any content to us — including reviews, comments, feedback, photos, suggestions, or other submissions ("User Content") — you grant Cafe Rio a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, modify, adapt, publish, translate, distribute, perform, and display such User Content in any media, in connection with the promotion and operation of our Services.
You represent and warrant that you own or have the necessary rights to your User Content, that it does not violate any third-party rights, and that it complies with all applicable laws. Cafe Rio does not endorse any User Content and is not responsible for its accuracy or reliability. We reserve the right to remove any User Content at our sole discretion without notice.
7. Disclaimers and "As-Is" Basis
To the fullest extent permitted by applicable law, Cafe Rio expressly disclaims all warranties, express or implied, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Website will be uninterrupted, error-free, or free from viruses or harmful components
- Warranties regarding the accuracy, reliability, completeness, or timeliness of any content, information, or materials on the Website
- Warranties that defects in the Website will be corrected
- Warranties related to the nutritional accuracy of food item information, which may vary based on preparation methods, ingredient substitutions, and serving sizes
Nutritional and allergen information provided on our Website is offered as a general guide only. Individuals with food allergies or dietary restrictions are strongly advised to consult with our staff directly before ordering. Cafe Rio cannot guarantee the complete absence of allergens in any food item due to shared cooking equipment and environments.
Cafe Rio does not warrant that any third-party content, products, or services accessible through links on our Website are accurate, complete, or reliable. We disclaim all liability for your use of any third-party websites, services, or content.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Cafe Rio, its officers, directors, employees, agents, partners, suppliers, or licensors be liable for any:
- Indirect, incidental, special, consequential, exemplary, or punitive damages
- Loss of profits, revenue, data, goodwill, or business opportunities
- Damages resulting from unauthorized access to or alteration of your transmissions or data
- Damages arising from your reliance on any content, products, or services obtained through the Website
- Damages resulting from any interruption, suspension, or termination of the Website or Services
- Personal injury or property damage arising from your use of the Services or consumption of our food products, except to the extent required by applicable law
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT CAFE RIO HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability shall be limited to the fullest extent permitted by applicable law. In no event shall the total aggregate liability of Cafe Rio to you for all claims arising out of or relating to these Terms or your use of the Services exceed the greater of: (a) the amount you paid to Cafe Rio in the thirty (30) days immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100.00).
9. Indemnification
You agree to indemnify, defend, and hold harmless Cafe Rio and its respective officers, directors, employees, agents, subsidiaries, affiliates, partners, successors, and assigns (collectively, "Indemnified Parties") from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:
- Your access to or use of the Website or Services
- Your violation of these Terms or any applicable law or regulation
- Your violation of any third-party rights, including intellectual property rights or privacy rights
- Any User Content you submit, post, or otherwise transmit through the Website
- Your negligent or wrongful conduct, or the negligent or wrongful conduct of any person using your account
- Any misrepresentation made by you in connection with your use of the Services
Cafe Rio reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate fully with us in asserting any available defenses. You agree not to settle any such claim without Cafe Rio's prior written consent.
10. Privacy and Data Protection
Your use of our Website and Services is also governed by our Privacy Policy, which is incorporated by reference into these Terms. The Privacy Policy describes how we collect, use, disclose, and protect your personal information in accordance with applicable United States privacy laws.
Depending on the state in which you reside, you may have additional privacy rights. Residents of California, for example, have specific rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), including the right to know, the right to delete, the right to opt out of the sale of personal information, and the right to non-discrimination for exercising privacy rights. We are committed to complying with all applicable state and federal privacy laws.
We may use cookies and similar tracking technologies on our Website. By using the Website, you consent to our use of cookies in accordance with our Privacy Policy. You may adjust your browser settings to refuse cookies, but doing so may affect your ability to use certain features of the Website.
11. Third-Party Links and Services
Our Website may contain links to third-party websites, applications, or services that are not owned, operated, or controlled by Cafe Rio. These links are provided for your convenience only and do not constitute an endorsement, sponsorship, or recommendation by Cafe Rio of the linked site or its content, products, or services.
Cafe Rio has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites. You acknowledge and agree that Cafe Rio shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by your use of or reliance on any third-party website, product, or service. We strongly encourage you to review the terms and privacy policies of any third-party websites you visit.
12. Governing Law and Jurisdiction
These Terms of Service and any disputes arising out of or related to them or your use of the Website or Services shall be governed by and construed in accordance with the laws of the United States and the laws of the state in which Cafe Rio is registered and principally operates, without regard to its conflict of law provisions.
Subject to the Dispute Resolution section below, you agree to submit to the personal and exclusive jurisdiction of the federal and state courts located in the applicable jurisdiction within the United States for the resolution of any disputes not subject to arbitration. If you are using the Website as a consumer, you may also have the benefit of mandatory provisions of the laws of your state of residence.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to these Terms or any transactions conducted through the Website.
Notwithstanding the foregoing, Cafe Rio reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of our intellectual property rights or other irreparable harm.
13. Dispute Resolution
13.1 Informal Resolution
Before initiating any formal dispute, you agree to first contact Cafe Rio in writing at [email protected] and provide a detailed description of your claim or concern. We will make good faith efforts to resolve the dispute informally within thirty (30) days of receiving your notice. Many disputes can be resolved quickly and satisfactorily through direct communication.
13.2 Binding Arbitration
If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms, the Website, or the Services — including questions regarding the existence, validity, or termination of these Terms — shall be resolved by binding individual arbitration, rather than in court. Arbitration shall be conducted by a recognized arbitration organization in accordance with its applicable rules and procedures.
The arbitration shall take place in the United States, and the arbitrator's decision shall be final and binding. The parties agree that any arbitration shall be conducted on an individual basis and not as a class action, collective action, or representative proceeding. YOU AND CAFE RIO HEREBY WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT.
Notwithstanding the foregoing, either party may seek emergency or preliminary injunctive relief from a court of competent jurisdiction where necessary to prevent irreparable harm pending arbitration.
13.3 Exceptions to Arbitration
The following disputes are excluded from arbitration and may be brought in a court of competent jurisdiction:
- Claims for emergency injunctive or equitable relief
- Claims within the jurisdictional limit of a small claims court in your state
- Claims related to intellectual property infringement
13.4 Time Limitation on Claims
You agree that any claim or cause of action arising out of or related to these Terms or your use of the Services must be filed within one (1) year after such claim or cause of action arose, or it shall be permanently barred, except where longer limitation periods are required by applicable law.
14. Term and Termination
These Terms shall remain in full force and effect for as long as you access or use the Website or Services. We reserve the right, in our sole discretion, to:
- Suspend or terminate your access to the Website or Services at any time, with or without cause, and with or without notice
- Refuse service to any person or entity for any reason not prohibited by applicable law
- Discontinue or modify any aspect of the Website or Services at any time
- Delete or deactivate your account and any associated data, subject to our Privacy Policy
Upon termination of your access, all licenses and rights granted to you under these Terms will immediately cease. Sections of these Terms that by their nature should survive termination — including but not limited to Intellectual Property Rights, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution — shall survive any termination or expiration of these Terms.
You may discontinue your use of our Services at any time. If you wish to delete your account or request removal of your personal information, please contact us at [email protected].
15. Changes to These Terms
Cafe Rio reserves the right to modify, amend, update, or replace these Terms at any time and at our sole discretion. When we make material changes to these Terms, we will provide notice through one or more of the following methods:
- Posting the updated Terms on this page with a revised "Last Updated" date
- Sending an email notification to registered users
- Displaying a prominent notice on the Website's homepage
Your continued use of the Website or Services following the posting of revised Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must cease using the Website and Services immediately.
We encourage you to review these Terms periodically to stay informed of any updates. The most current version of the Terms will always be available at riosscafe.click.
16. Severability
If any provision of these Terms is held to be invalid, illegal, void, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be deemed severed from these Terms and shall not affect the validity, legality, or enforceability of the remaining provisions, which shall continue in full force and effect.
In the event that any provision is found to be unenforceable, the parties agree that the court or arbitrator should modify that provision to the minimum extent necessary to make it enforceable, preserving the parties' original intent to the greatest degree possible.
The failure of Cafe Rio to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Cafe Rio.
17. Entire Agreement
These Terms of Service, together with our Privacy Policy and any other legal notices or policies published by Cafe Rio on the Website, constitute the entire agreement between you and Cafe Rio with respect to your use of the Website and Services, and supersede all prior and contemporaneous agreements, representations, warranties, understandings, and negotiations, whether written or oral, between the parties concerning the subject matter hereof.
No oral agreement, representation, or modification of these Terms shall be binding unless reduced to writing and signed by an authorized representative of Cafe Rio. These Terms may not be assigned by you without our prior written consent, but may be assigned by Cafe Rio without restriction.
18. Force Majeure
Cafe Rio shall not be liable for any failure or delay in performance of its obligations under these Terms arising out of or caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions, wars, terrorism, civil disturbances, labor disputes, power outages, internet service interruptions, supply chain disruptions, or any other cause beyond our reasonable control ("Force Majeure Event").
In the event of a Force Majeure Event, Cafe Rio will use commercially reasonable efforts to minimize the impact on our Services and to resume normal operations as soon as practicable. Notice of any Force Majeure Event will be provided as soon as reasonably possible.
19. Electronic Communications and Consent
By using our Website and Services, you consent to receive electronic communications from Cafe Rio, including emails, push notifications, and other forms of digital communication related to your use of the Services, your orders, account activity, and promotional content where you have opted in to receive such communications.
You agree that any notices, disclosures, agreements, and other communications provided to you electronically satisfy any legal requirement that such communications be in writing. You may opt out of promotional communications at any time by following the unsubscribe instructions provided in such communications or by contacting us at [email protected].
Opting out of promotional communications will not affect the delivery of transactional communications necessary for your use of the Services, such as order confirmations and account notifications.
20. Consumer Protection Rights
Nothing in these Terms is intended to limit, exclude, or modify any rights you may have under applicable federal or state consumer protection laws that cannot be waived by contract, including but not limited to the Federal Trade Commission Act (FTC Act), applicable state consumer protection statutes, and any other mandatory protections afforded to consumers by law.
If you are a California resident, you may have specific rights under the California Consumer Protection Act and other state laws, which we respect and honor. If you are a resident of another state with specific consumer protection laws, we encourage you to familiarize yourself with your rights under those laws.
21. Accessibility
Cafe Rio is committed to ensuring that our Website and Services are accessible to all users, including individuals with disabilities. We strive to comply with applicable accessibility standards and guidelines, including the Web Content Accessibility Guidelines (WCAG) 2.1. If you experience any difficulty accessing our Website or Services due to a disability, please contact us at [email protected], and we will make reasonable efforts to assist you.
